Terms of Service

These Terms of Service ("Terms") govern your access to and use of LLMGovernor (the "Service"). By creating an account or using the Service, you agree to these Terms.

This is a working draft prepared to support launch. Before publishing publicly, have it reviewed by counsel familiar with your jurisdiction(s).

1. The service

LLMGovernor provides cost tracking, budget enforcement, and reporting for AI agent fleets. You install our SDK in your application; it forwards telemetry to our API; we surface aggregate spend, per-agent costs, and budget status in your dashboard.

2. Your account

To use the Service you must:

  • Be at least 16 years old (or the age of majority in your jurisdiction).
  • Provide accurate registration information and keep it current.
  • Be responsible for all activity that occurs under your account, including activity from API keys you generate.
  • Keep your API keys confidential. If you suspect a key has been compromised, rotate it immediately from the dashboard.

You may have multiple users on one account; you are responsible for each user's compliance with these Terms.

3. Acceptable use

You agree not to:

  • Use the Service to track illegal activity or violate any law.
  • Attempt to gain unauthorized access to the Service, other accounts, or supporting infrastructure.
  • Probe, scan, or test the vulnerability of the Service without our prior written permission.
  • Send abnormal traffic patterns (e.g. floods, scrapes) that could degrade the Service for others.
  • Resell, sublicense, or repackage the Service without our written authorization.
  • Submit content that infringes third-party rights, contains malware, or violates privacy laws.

We may suspend or terminate accounts that violate this section.

4. Subscriptions and billing

Plans

We offer several paid tiers (currently Starter, Growth, Scale) plus a free tier. Pricing and features are listed at https://llmgovernor.ai/pricing. We may change pricing for future billing periods on 30 days' notice.

Billing

  • Paid plans are billed monthly via Stripe. By subscribing you authorize recurring charges to your payment method.
  • All fees are exclusive of taxes; you are responsible for any applicable VAT, GST, or sales tax.
  • Invoices are available in the Stripe customer portal.

Free tier and rate limits

Each tier has request and event limits documented on the pricing page. Exceeding the limit may result in rate-limiting (429 responses) or budget enforcement on the SDK side, depending on your configuration.

Cancellations and refunds

You may cancel at any time from the Stripe customer portal. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial months. Annual prepayments (if any) are non-refundable except where required by law.

Failed payments

If a payment fails we will retry per Stripe's standard dunning schedule. After repeated failures we may downgrade your account to the free tier or suspend service until payment is resolved.

5. Your content and data

You retain ownership of all data you submit ("Your Content"), including agent events, account names, and configuration. You grant us a non-exclusive, worldwide license to host, process, and display Your Content solely for the purpose of providing the Service to you.

We will not access Your Content except as needed to operate the Service or as required by law. See our Privacy Policy for details on data handling.

6. Our intellectual property

The Service, including the SDK, dashboard, documentation, and underlying source code, is owned by LLMGovernor and licensed to you under these Terms. You may not:

  • Reverse-engineer or decompile the proprietary parts of the Service.
  • Remove any copyright or other proprietary notices.
  • Use our trademarks or branding without prior written permission.

Open-source components are licensed separately under their own terms; check the relevant repository.

7. Service availability

We aim to keep the Service highly available but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice and emergency maintenance without notice when necessary.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Cost calculations will be exact to the cent.
  • Budget enforcement will always block every overspend (network failures or timing edge cases may permit a small overshoot).

You agree that you are responsible for your own use of the Service and for any decisions you make based on its output.

8. Limitation of liability

To the maximum extent permitted by law:

  • Indirect damages. LLMGovernor will not be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.
  • Cap. Our total cumulative liability for any claims arising out of or related to the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim, or USD $100, whichever is greater.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, in which case the above limitations apply to the maximum extent permitted by law.

9. Indemnification

You agree to defend and indemnify LLMGovernor against any claims arising from:

  • Your violation of these Terms.
  • Your violation of any third-party right (including IP, privacy, or contract rights) through your use of the Service.
  • Your content or data submitted to the Service.

10. Termination

You may terminate your account at any time from the dashboard.

We may suspend or terminate your account immediately if you materially breach these Terms, if we are required by law, or if continued operation poses a security risk. We will give you at least 30 days' notice for non-urgent termination so you can export your data.

Upon termination, your right to use the Service ends. Sections 5, 6, 7, 8, 9, 11, and 12 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer resident in the EU or UK, you may also have the right to bring proceedings in your local jurisdiction; nothing in this section limits your rights under applicable consumer protection law.

12. Changes to these terms

We may modify these Terms from time to time. Material changes will be announced at least 30 days in advance via email or a notice in the dashboard. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service before the effective date.
